These Terms & Conditions ("Terms") govern your access to and use of the Compass Health CRM & Leads Marketplace (the "Service"). The Service is operated by Momentum Marketing Blend LLC, a Florida limited liability company ("MMB", "we", "us", or "our"), under the brand "Compass Health". Please read these Terms carefully. By creating an account or using the Service, you agree to be bound by them.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Billing Policy, which are incorporated here by reference. If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of the Service
The Service is a customer relationship management ("CRM") platform combined with a custom Leads Marketplace built for licensed insurance agents. The CRM helps you organize contacts, communications, pipelines, and follow-up. The Leads Marketplace lets you obtain leads and credits relating to insurance lines including ACA, private health and under-65 (U65), Medicare, and life insurance. We may add, modify, or remove features of the Service from time to time.
3. Eligibility
The Service is intended solely for properly licensed insurance agents. By using the Service, you represent and warrant that you hold all licenses, appointments, and registrations required by applicable law to market and sell the insurance products you pursue, and that those licenses are valid and in good standing. You must be at least 18 years old and able to form a binding contract. We may require proof of licensing at any time and may suspend or terminate access if you cannot demonstrate it.
4. Accounts, Review & Approval
To use the Service you must create an account and provide accurate, current, and complete information. All accounts are subject to review and approval. Access to some or all features may be held until an administrator reviews and approves your account. We may decline, suspend, or revoke an account at our discretion, including where we cannot verify your licensing or where we suspect misuse.
You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@compasshealthcrm.com if you believe your account has been accessed without authorization. You may not share your account or transfer it to another person without our written consent.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable law, regulation, or third-party right;
- Use the Service to send unlawful, deceptive, harassing, or unsolicited communications;
- Upload malware or attempt to gain unauthorized access to the Service, its systems, or other accounts;
- Reverse engineer, scrape, resell, or sublicense the Service except as expressly permitted;
- Interfere with or disrupt the integrity or performance of the Service; or
- Misrepresent your identity, licensing status, or affiliation.
6. Subscription & Payment
Access to the Service is offered on a paid monthly subscription basis with a free trial. Pricing, the trial period, billing cycle, cancellation, and refund details are described in our Billing Policy, which forms part of these Terms. By subscribing, you authorize recurring charges to your payment method as described there.
7. Leads Marketplace Terms
Leads and credits made available through the Leads Marketplace are provided on an "as is" and "as available" basis. We do not guarantee that any lead will be reachable, accurate, qualified, or that it will result in contact, an appointment, a sale, or any conversion. The value, quantity, and availability of leads may vary.
You are solely responsible for how you use leads and for your own marketing and outreach. This includes, without limitation, compliance with the Telephone Consumer Protection Act (TCPA), federal and state Do-Not-Call rules, all applicable state insurance laws and regulations, and CMS and Medicare marketing rules. You agree to obtain and honor any required consents and to maintain your own compliance records. We are not your compliance advisor and provide no legal or regulatory advice. You assume all risk and liability arising from your use of leads and your communications.
8. Intellectual Property
The Service, including its software, design, text, graphics, and the "Compass Health" brand, is owned by MMB or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. You retain ownership of the data you submit; you grant us a license to host, process, and use that data to provide and improve the Service. You may not copy, modify, distribute, or create derivative works from the Service except as permitted by these Terms.
9. Third-Party Platforms & Processors
The Service relies on third-party platforms and service providers. The CRM functionality is powered by the GoHighLevel/LeadConnector platform, and card payments are handled by our third-party payment processor. Your use of those features may also be subject to the third parties' own terms. We are not responsible for the acts, omissions, availability, or content of third-party platforms, and we do not store full card numbers, which are handled by the payment processor.
10. Disclaimers & Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that leads will produce any particular result.
To the maximum extent permitted by law, MMB and its members, managers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to your use of the Service. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless MMB and its members, managers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service, your leads and communications, your violation of these Terms, or your violation of any law or third-party right, including TCPA, Do-Not-Call, state insurance, and CMS/Medicare requirements.
12. Term & Termination
These Terms remain in effect while you use the Service. You may cancel your subscription at any time as described in the Billing Policy. We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms, suspected misuse, non-payment, or as otherwise reasonably necessary. Upon termination, your right to use the Service ends. Sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive termination.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. SMS / Text Messaging Program
If you provide your mobile number and opt in through our online contact form, you agree to receive marketing and/or non-marketing SMS text messages from Compass Health CRM (Momentum Marketing Blend LLC), based on the consents you select at the point of opt-in. Marketing messages include offers, discounts, and platform updates; non-marketing messages include account, onboarding, appointment-reminder, billing, and customer-support notifications. Consent to receive text messages is not a condition of purchasing any goods or services.
Message frequency. Message frequency may vary.
Fees. Message and data rates may apply.
Opt-out. You can cancel the SMS service at any time by texting STOP. After you text STOP, we will send a reply confirming your unsubscribe, and you will no longer receive SMS messages from us. To rejoin, opt in again as you did the first time.
Help. Reply HELP for assistance, or contact us at support@compasshealthcrm.com.
Carrier liability. Carriers are not liable for delayed or undelivered messages.
How we handle the mobile information you provide is described in our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.
